1. Platform Purpose & Limitations

Bluwave provides a foundational CRM, marketing automation, and communication platform.

The Platform itself is a neutral software shell and does not constitute a complete business system.

Bluwave does not claim ownership of your intellectual property, marketing strategies, automations, or systems implemented through the Platform. Any workflows, strategies, automations, or business systems developed through the Platform may require separate agreements with AMG Media Group, developers, or service providers. These elements are not included in the standard platform subscription and are non-transferable, non-reproducible, and non-licensable without prior written consent. Bluwave provides infrastructure only; all strategic configuration, automation, marketing execution, or optimization work is governed under separate agreements.

2. Intellectual Property & Systems Ownership

Unless otherwise stated in a separate written agreement:

All systems, funnels, automations, workflows, and custom setups built by a service provider, developer, or AMG Media Group are the exclusive property of the creator.Clients may not:Clone, copy, reverse-engineer, or reproduce any system created by AMG Media Group or its service providers Use another agency or team to replicate systems without written consent Transfer, duplicate, or recreate custom workflows or automations onto other platforms without authorization

All custom work remains the sole intellectual property of AMG Media Group or the original service provider unless explicitly licensed otherwise.

3. Mandatory Services Agreement Requirement

Any custom services—including, but not limited to, CRM builds, automation strategies, marketing systems, integrations, or process optimizations—require a separate services agreement.Use of the Bluwave Platform alone does not confer rights to any custom deliverables.

4. Non-Circumvention & Anti-Solicitation

Clients agree not to solicit, hire, or independently engage any consultant, developer, or media team that has provided services through AMG Media Group without AMG Media Group's prior written consent.This clause survives for 24 months post-termination of this agreement.

5. Account Access & Client Responsibilities

Clients are solely responsible for:

Managing account credentials and user permissions Ensuring compliance with all applicable laws (e.g., TCPA, CAN-SPAM, HIPAA)Protecting customer and prospect data stored within the platform. Bluwave provides the software framework only and is not responsible for how it is configured, customized, or operated by clients or their service providers.

6. Software Use and Licensing

Clients are granted a non-exclusive, non-transferable, revocable license to use the Bluwave Platform for internal business purposes only.This license does not include:

Ownership of the Bluwave Platform, templates, automations, or pre-built frameworks Reproduction, duplication, or reverse-engineering of systems created by others Exporting, cloning, or extracting automations for use outside of Bluwave without prior written consent.

7. Disclaimer of Warranties

The Bluwave CRM Platform is provided "as-is" without warranties, express or implied.

AMG Media Group makes no guarantees regarding platform performance, system outcomes, customer conversion rates, or the functionality of any custom-built systems. Clients assume full responsibility for any customizations, automations, or marketing executions created within their Bluwave environment.

8. Disputes & Governing Law

This Agreement is governed by the laws of the State of Georgia. All disputes shall be resolved exclusively through binding arbitration. Class action waivers apply

Access to the Bluwave CRM Platform provides use of the software infrastructure only It does not include any rights to custom-built automations, CRM systems, marketing processes, workflows, or business strategies developed by AMG Media Group, its contractors, or service providers.A separate written agreement is required for licensing, duplication, ownership transfer, or continued use of such systems.

9. Payment as Acceptance

By making payment for the licensed system or platform subscription, Licensee acknowledges that they have read, understood, and agreed to all terms outlined in this Agreement. Payment shall serve as Licensee’s binding acceptance and signature to this Agreement without the need for a physical or electronic signature. Until payment is received in full, no rights, licenses, services, or deliverables shall be granted to the Licensee.
